1. Acceptance of Terms

By accessing and using Neura Market ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this Service. These Terms of Service ("Terms") govern your use of our website and services provided by Neura Market, Inc. ("Company," "we," "us," or "our").

2. Description of Service

Neura Market is a marketplace platform that connects creators of workflow automation templates with buyers seeking automation solutions. We provide:

• A platform for creators to list and sell their automation templates
• Tools for buyers to discover, purchase, and download templates
• Payment processing and transaction management
• Support and dispute resolution services
• Community features and educational resources

3. User Accounts

3.1 Account Creation

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your password and account
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized use

4. Marketplace Terms

4.1 For Buyers

• All purchases are subject to the applicable license terms
• Digital products are non-tangible and delivered electronically
• You may not redistribute purchased templates without appropriate license
• Refunds are subject to our 30-day money-back guarantee policy

4.2 For Sellers

• You retain ownership of your original content
• You grant us a license to host, display, and distribute your products
• You warrant that you have the right to sell the products
• You agree to our revenue sharing model (platform fee of 10-20%)
• You must provide accurate product descriptions and support
• You must comply with all applicable laws and regulations

4.3 Partner Network Distribution

By listing a workflow automation template, product, or other digital asset ("Product") on Neura Market, you expressly authorize and consent to the distribution of your Product through the Neura Market Partner Network ("Partner Network"), which consists of third-party platforms, websites, and marketplaces with which we have established commercial partnership agreements ("Partner Sites").

This authorization includes, but is not limited to:

• Cross-Platform Listing: Your Product, including all associated metadata, descriptions, images, pricing, and promotional materials, may be listed, displayed, and offered for sale on Partner Sites without requiring additional approval for each individual Partner Site.
• Revenue Sharing Parity: You shall retain the same revenue share percentage for sales occurring through Partner Sites as you would receive for direct sales on Neura Market, less any applicable payment processing fees. The platform fee structure remains consistent regardless of the point of sale within the Partner Network.
• Unified Fulfillment: All sales conducted through the Partner Network shall be fulfilled through Neura Market's infrastructure, and you retain all seller obligations including customer support, updates, and product maintenance.
• License Grant: You grant Neura Market and its Partner Sites a non-exclusive, worldwide, royalty-free license to reproduce, distribute, publicly display, and create derivative works from your Product listings solely for the purpose of facilitating sales through the Partner Network.

Partner Network Terms: The Partner Network enables a "list once, sell everywhere" distribution model designed to maximize your Product's market reach. You acknowledge that Partner Sites may have their own terms of service that govern user interactions on their platforms, but your commercial relationship and revenue share remains exclusively with Neura Market.

You may opt out of Partner Network distribution at any time by contacting us at marketneura@gmail.com. Opt-out requests will be processed within ten (10) business days, after which your Products will only be available on Neura Market's primary platform.

5. Payment Terms

5.1 Pricing and Fees

• All prices are listed in USD unless otherwise specified
• Sellers set their own prices within our guidelines
• We charge a platform fee on each transaction
• Prices are subject to change with notice

5.2 Payment Processing

We use third-party payment processors to handle transactions. By making a purchase, you agree to the payment processor's terms of service. We are not responsible for payment processor errors or issues.

5.3 Seller Payouts

• Sellers receive payouts according to the payout schedule
• Minimum payout threshold applies ($200 USD)
• We reserve the right to withhold payments for suspicious activity
• Tax obligations are the seller's responsibility

6. Intellectual Property Rights

6.1 Platform Content

The Service and its original content (excluding user-generated content), features, and functionality are owned by Neura Market and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 User Content

Users retain ownership of content they create and upload. By posting content, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and distribute your content in connection with the Service.

6.3 Copyright Infringement

We respect intellectual property rights and expect users to do the same. Please refer to our DMCA Policy for reporting copyright infringement.

7. Prohibited Uses

You agree not to use the Service to:

• Violate any laws or regulations
• Infringe upon intellectual property rights
• Upload malicious code or viruses
• Engage in fraudulent activities
• Harass, abuse, or harm other users
• Spam or send unsolicited communications
• Scrape or harvest data without permission
• Interfere with the Service's operation
• Create multiple accounts to manipulate ratings or reviews
• Sell counterfeit or unauthorized products

8. Disclaimers and Limitations

8.1 Service Availability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

8.2 Third-Party Products

We are not responsible for the quality, accuracy, or legality of user-generated content or third-party products sold on our platform. Buyers purchase at their own risk.

8.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEURA MARKET SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

9. Indemnification

You agree to defend, indemnify, and hold harmless Neura Market, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Service.

10. Dispute Resolution

10.1 Informal Resolution

We encourage users to contact us first to resolve disputes informally. Most disputes can be resolved through our customer support team.

10.2 Arbitration

Any disputes that cannot be resolved informally shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in the English language.

10.3 Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive your right to participate in a class action lawsuit or class-wide arbitration.

11. Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including:

• Breach of these Terms
• Request by law enforcement or court order
• Extended periods of inactivity
• Fraudulent or illegal activity
• Nonpayment of fees

Upon termination, your right to use the Service will cease immediately. All provisions of these Terms shall survive termination.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. Your continued use of the Service after changes become effective constitutes acceptance of the new Terms.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.
