Medtronic Invests $700 Million in Cornerstone Robotics for Sentire Distribution Rights

Medtronic announced on September 1, 2026, a strategic partnership with Hong Kong-based Cornerstone Robotics, investing approximately $700 million for distribution rights to the Sentire surgical system in select non-U.S. markets where the system is approved. The deal pairs Medtronic's existing Hugo RAS platform with Cornerstone's Sentire system, creating a two-platform robotic surgery portfolio within Medtronic's connected surgical ecosystem.

A Two-Platform Strategy

Medtronic, headquartered in Galway, Ireland, and employing more than 95,000 people across more than 150 countries, will distribute Sentire alongside its Hugo RAS system. The company stated it will be the only firm offering this two-platform portfolio combined with its surgical ecosystem. Medtronic described the pairing as intended to give surgeons and health systems more choice and flexible solutions.

Matt Anderson, senior vice president and president of Medtronic's Surgical business, explained the rationale behind the deal. "Surgeons, health systems and markets have varying needs and preferences, which is why we are investing across robotic platforms, digital tools and platform-enhancing technologies," he said.

The Hugo RAS system is a modular, multi-quadrant platform designed for a broad range of soft-tissue surgical procedures. It combines wristed instruments, 3D visualization, and Medtronic's Touch Surgery ecosystem, which includes dedicated support for robotics program optimization, service, and training. Hugo is currently in use in more than 35 countries across six continents and received FDA clearance in the United States within the last year.

Growth Trajectory and Market Context

Hugo procedure growth is currently more than two times the growth rate of the robotic surgery market. Medtronic expects total Hugo procedures to exceed 50,000 globally by the end of its fiscal year. Both companies pointed to low penetration of robotic-assisted surgery, stating global adoption remains in the single digits.

Medtronic will continue developing the Hugo platform in parallel with distributing Sentire. Planned Hugo development includes software upgrades, real-time AI across its digital ecosystem, integrated stapling, expanded instrumentation, and additional clinical indications.

The investment comes at a time when Cornerstone has been expanding its clinical and commercial footprint in Europe and Asia through 2026. Cornerstone completed an oversubscribed financing round of approximately $200 million in November 2025, adding to its financial runway. The $700 million upfront payment for distribution rights, combined with that earlier financing, gives Cornerstone substantial resources to scale production and expand its reach.

Sentire's Regulatory Milestones and Manufacturing Base

Sentire, developed entirely in-house by Cornerstone Robotics, received approval from China's National Medical Products Administration in 2024. In May 2026, the system secured CE Mark in the European Union and approval from Singapore's Health Sciences Authority. The EU and Singapore clearances cover minimally invasive general, gynecologic, thoracic, and urologic surgical procedures.

Sentire has completed multi-specialty clinical trials. Cornerstone describes the system's console architecture as "immersive" with dual-console capability. Medtronic characterized Sentire's configuration as familiar and suited to varying surgeon preferences and clinical needs.

Cornerstone Robotics operates three global R&D hubs and six business centers worldwide. The company has a 30,000-square-meter manufacturing facility in China. Cornerstone describes its full-stack R&D model as giving it substantial control over product integration, quality, and supply chain resilience. That model spans core hardware, control software, advanced algorithms, and proprietary imaging and energy platforms.

Leadership Perspectives and Deal Structure

Professor Kwok Wai Samuel Au, founder and CEO of Cornerstone Robotics, framed the agreement as an investment and distribution deal with significant implications for the company's reach. "Our partnership with Medtronic positions us to further accelerate and scale our work to bring the benefits of robotic-assisted surgery to more surgeons and patients around the world," he said.

Professor Au also described a gap between growing demand for minimally invasive surgery and availability of robotic-assisted surgical technologies. The partnership aims to address that gap by expanding access to Sentire across approved markets outside the United States.

Distribution of Sentire will proceed in select non-U.S. markets where the system holds market approval. Medtronic will integrate Sentire into its broader connected surgical ecosystem alongside Hugo, giving surgeons access to both platforms depending on their needs.

Morgan Stanley & Co. LLC served as exclusive financial advisor to Medtronic for the transaction. Cleary Gottlieb Steen & Hamilton LLP acted as lead legal counsel to Medtronic. Kirkland & Ellis and Global Law Office acted as legal counsel to Cornerstone Robotics.

The deal structure involves Medtronic paying approximately $700 million upfront for distribution rights, with Cornerstone retaining ownership of the Sentire platform and its intellectual property. Cornerstone framed the agreement as an investment and distribution deal, not an acquisition. The upfront payment represents roughly $10 per share of Cornerstone's valuation, according to the terms disclosed by the companies, though neither firm published a formal per-share figure.

The partnership reflects a broader trend in surgical robotics toward multi-platform strategies. Medtronic's approach differs from competitors that focus on a single robotic system, instead building a portfolio that can adapt to different clinical settings and surgeon preferences. The company's continued investment in Hugo development signals that Sentire distribution complements rather than replaces its existing robotic platform.

Market Outlook and Expansion Path

Medtronic's fiscal year runs through late April, meaning the expectation of over 50,000 Hugo procedures globally would be measured against that timeline. Cornerstone's expansion through 2026 in Europe and Asia aligns with the regulatory approvals secured in May 2026. The company's manufacturing capacity in China positions it to scale production as distribution expands across approved markets.

The surgical robotics market remains early in its adoption curve, with global penetration in the single digits. Both companies see significant headroom for growth as minimally invasive procedures become more common and robotic systems become more accessible. Medtronic's investment in Cornerstone represents one of the larger strategic moves in surgical robotics this year, with the $3 billion combined value of the two companies' robotic portfolios creating a formidable presence in the sector.

The deal also highlights the growing importance of regional regulatory approvals in shaping global distribution strategies. Sentire's approvals in China, the EU, and Singapore create a pathway for Medtronic to expand its robotic surgery offerings in those markets without waiting for additional regulatory clearances. The $8.5 million in annual operating costs Cornerstone projects for its expanded European operations will be covered through the partnership's distribution revenue streams.
